I. General Terms and Conditions

1 Basic provisions

(1) The following General Terms and Conditions apply to all contracts that you conclude with HD Solutions GmbH as the provider via the website www.esimony.com. Unless otherwise agreed, we object to the inclusion of any of your own terms and conditions.

(2) Consumers within the meaning of the following provisions are natural persons who enter into a legal transaction for purposes that are predominantly outside their trade, business or profession. Entrepreneurs are natural or legal persons or partnerships with legal capacity who, when concluding a legal transaction, are acting in the exercise of their independent professional or commercial activity.

2 Conclusion of a contract

(1) The subject of the contract is the sale of goods (eSIM) or services (topping up data volume).

(2) By placing a product on our website, we are already making you a binding offer to conclude a contract. The terms of the contract are stated in the item description.

(3) The contract is concluded as follows:

Place the goods intended for purchase in the “shopping cart.” You can call up the “shopping cart” by clicking on the corresponding symbol in the navigation bar and make changes there at any time.
In the order process, enter your personal data as well as your shipping and payment details. Finally, you will be shown all the order details again on the order overview page

If you use an instant payment system (e.g. PayPal, instant bank transfer), you will either be taken to the order overview page in our online store or you will first be redirected to the website of the provider of the instant payment system. There you can enter your data. Afterwards you will be redirected back to our online store.

Here you have the opportunity to check all the data again before sending the order, to change it or to cancel the purchase. The contract becomes legally binding when the order is sent.

(4) The processing of the order and transmission of all necessary data is partially automated. Therefore, please ensure that the e-mail address you have entered is correct.

3 Right of retention, retention of title

(1) You may exercise a right of retention if this relates to claims arising from the same contractual relationship.

(2) All goods remain our property until the full purchase price has been paid.

4 Warranty

(1) The statutory warranty rights apply.

(2) As a consumer, you are requested to check the order immediately and to notify us of any complaints as soon as possible. If you fail to do so, this shall have no effect on your statutory warranty claims.

5 Place of fulfillment, place of jurisdiction, contract language

(1) The law of the Federal Republic of Germany shall apply to all legal relationships between us and the Buyer, to the exclusion of the United Nations Convention on Contracts for the International Sale of Goods (CISG).

(2) Berlin is the sole place of jurisdiction for all disputes arising from the contractual relationship if the Buyer is a merchant, a legal entity under public law or a special fund under public law.

(3) The contractual language is German.

(4) Should individual contractual provisions prove to be invalid in whole or in part, the remainder of the contract shall remain valid. In the event of such invalidity, the contracting parties shall agree on a legally valid replacement provision that comes as close as possible to the invalid provision in terms of content and economic effect. The same shall apply if a loophole is found in the contract.
